Terms of Service

By accessing or using Zenith Connect ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Zenith Connect. By using the Service, you represent that you are at least 18 years old and have the authority to enter into this agreement on behalf of yourself or your organization.

Zenith Connect is a white-label member and resource management platform that enables organizations to manage members, track attendance, process contributions and dues, generate reports, and administer transfers and approvals.

The Service is provided on a subscription basis with a free tier supporting up to 20 members. Features and limits vary by plan as described on our pricing page.

To use the Service, you must register for an account using a valid invite token issued by your organization's administrator. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

Zenith Connect will not be liable for any loss or damage arising from your failure to maintain account security.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to store, transmit, or distribute illegal, harmful, or offensive content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to violate any applicable law or regulation
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service without our written permission
• Resell or redistribute access to the Service without authorization

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

As an organization administrator, you are responsible for ensuring that your collection and use of member data complies with all applicable privacy laws, including but not limited to applicable U.S. state privacy regulations and, where applicable, international frameworks.

The Service and its original content, features, and functionality are owned by Zenith Connect and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of data you input into the Service. You grant Zenith Connect a limited, non-exclusive license to process and store your data solely for the purpose of providing the Service.

Paid subscription plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.

We reserve the right to modify subscription pricing with 30 days' advance notice. Your continued use of a paid plan after the effective date constitutes acceptance of the new pricing.

If payment fails, your account may be downgraded to the free tier. Zenith Connect is not liable for any loss of data or functionality resulting from non-payment.

You may terminate your account at any time by contacting support or using the account deletion feature within your dashboard. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account without notice if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law.

Upon termination, we will retain your data for 30 days to allow for recovery, after which it will be permanently deleted.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ZENITH CONNECT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENITH CONNECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Zenith Connect in the 12 months preceding the claim, or $100, whichever is greater.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York. You consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
